Instruction of the general meeting within the meaning of the Section 51 (2) of the Business Corporations Act and the legal duty to care

Abstract

The article outlines the basic issue between the duty of a member of the statutory body to proceed with managerial care in the performance of his / her office and the possibility of a member of the statutory body to request an instruction regarding the business management of the company from the general meeting and the possibility of not following such an instruction.
